Terms & Conditions

Sunniva Encon LLP

Last updated: 30 September 2026

1. Who we are

These Terms govern the sale of goods and services by Sunniva Encon LLP, a limited liability partnership registered in India (GSTIN 27AEHFS3160C1Z8), with its registered office at C-443, Oshiwara Industrial Centre, New Link Road, Goregaon West, Mumbai 400104, Maharashtra, and its works at Tirupati Industrial Complex, Plot 41, Sambhaji Nagar, Asangaon, Maharashtra ("Sunniva", "we", "us").

"You" or "the Customer" means the person or entity purchasing goods or services from us.

2. When these Terms apply

These Terms apply to every quotation we issue, every order you place and every contract formed between us, and override any terms you put forward in a purchase order or elsewhere unless we have agreed otherwise in writing and signed by an authorised partner of Sunniva.

Placing an order, accepting delivery, or paying an invoice constitutes acceptance of these Terms.

3. Quotations and orders

3.1A quotation is an invitation to order, not an offer. It does not bind us until we issue a written order acknowledgement.

3.2Quotations are valid for 30 days from the date of issue unless stated otherwise, and are subject to the goods being available.

3.3A contract is formed when we issue a written order acknowledgement or, if earlier, when we receive your advance payment or purchase order and accept it.

3.4Obvious clerical or typographical errors in a quotation, invoice or acknowledgement may be corrected by us without liability.

4. Specifications and published performance

4.1Capacities, coefficients of performance (COP), flow rates, dimensions and other figures published in our datasheets, on our website or in a quotation are stated at the specific test conditions printed alongside them — typically ambient temperature, inlet and outlet water temperature, and voltage.

4.2Actual performance varies with ambient conditions, water quality, flow rate, pipe runs, static head, draw-off pattern and installation quality. Published figures are not a guarantee of performance at your site unless we have issued a written performance guarantee for that specific installation.

4.3Sizing calculators on our website are indicative only. A calculator output is not a specification, not a quotation, and does not form part of any contract.

4.4We may make changes to design, materials or specification that do not materially reduce performance, without notice.

4.5Illustrations, photographs and drawings are for guidance and do not form part of the contract.

5. Prices, taxes and payment

5.1Prices are ex-works Asangaon unless the quotation states otherwise, and exclude GST, freight, insurance, unloading, craneage, civil work, electrical work and any statutory levy.

5.2GST and any other applicable taxes will be charged at the rate in force on the date of invoice.

5.3Payment terms are 50% advance with order and 50% before dispatch, unless agreed otherwise in writing.

5.4Payment is due in Indian Rupees to the account named on the invoice. Payment is not made until cleared funds are received.

5.5Time for payment is of the essence. If any sum is overdue we may, without prejudice to our other rights: charge interest at 24% per annum, calculated daily from the due date until payment; withhold dispatch; suspend installation, commissioning or warranty service; and set off any sum you owe us against any sum we owe you.

5.6You may not withhold or set off any payment on account of an alleged claim or dispute.

5.7Goods will not be dispatched until the balance payment is received in cleared funds.

6. Delivery, risk and title

6.1Delivery dates are estimates given in good faith. Time of delivery is not of the essence and we are not liable for any loss arising from delay.

6.2Delivery takes place when the goods are made available at our works at Asangaon. Risk passes to you at that point, including during any transport we arrange on your behalf.

6.3You must inspect the goods on arrival. Any visible shortage, damage or discrepancy should be recorded on the carrier's consignment note or lorry receipt at the time of delivery, as this is normally required to pursue a claim against the transporter.

6.4In all cases, you must notify us in writing of any shortage, damage or discrepancy within 48 hours of delivery, with photographs of the packaging and the affected goods. Claims notified after 48 hours may be rejected.

6.5Title in the goods does not pass to you until we have received payment in full, including any interest. Until title passes you must store the goods so they remain identifiable as ours and keep them insured, and we may enter your premises to recover them.

6.6If you fail to take delivery on the agreed date, we may store the goods at your cost and risk and invoice as though delivery had taken place.

7. Site conditions and customer obligations

Correct site conditions are a condition of both safe operation and of the warranty. You are responsible, at your cost, for:

7.1A structurally sound, level and drained plinth or platform adequate for the machine's operating weight, with clearances for airflow and service access as given in the installation manual.

7.2Electrical supply within the voltage and phase tolerance stated on the nameplate, with earthing, protection and isolation to applicable standards, and a voltage stabiliser installed at the power supply.

7.3Water quality: total dissolved solids (TDS) below 250 ppm, free of suspended solids and corrosive chemistry. Softening, filtration or dosing is your responsibility.

7.4A circulation pump selected in accordance with Sunniva's recommendation.

7.5Interconnecting pipework, insulation, valves, expansion provision, and all civil and structural work.

7.6Safe, timely and unobstructed access for our personnel, and compliance with applicable safety requirements at site.

7.7Any statutory approval, permit or clearance required for the installation.

7.8If our personnel attend site and cannot proceed because the site is not ready, a charge of ₹3,500 per visit plus travel expenses becomes payable.

8. Installation, commissioning and training

8.1Installation and commissioning are included only where the quotation expressly says so.

8.2Installation, commissioning and repair must be carried out only by Sunniva Authorised Service Personnel. Work carried out by anyone else voids the warranty in full.

8.3Commissioning is complete when the machine operates to the agreed parameters at the conditions prevailing on the commissioning date and the commissioning report is signed. If you decline to sign without stating a defect in writing, commissioning is deemed complete 7 days after we request signature.

8.4We will provide operator familiarisation at handover. Further training is chargeable.

9. Warranty

9.1We warrant that the goods will be free from manufacturing defects in material and workmanship arising despite normal operation and usage as prescribed in the operating manual.

9.2The warranty period is 12 months from the date of invoice.

9.3Our sole obligation under this warranty is, at our option, to repair or replace the defective part, or to credit the price of the affected goods. We do not undertake to replace the complete machine.

9.4Where a part is repaired or replaced, it is warranted only for the unexpired remainder of the original warranty period. Repair or replacement does not restart or extend that period.

9.5Replaced components become the property of Sunniva.

9.6The warranty is valid only where the warranty card is duly completed and bears the stamp, date and signature of Authorised Service Personnel.

9.7Site attendance under warranty is provided free of charge within 50 km of Mumbai or Asangaon. Beyond that radius, travel, lodging and attendance charges are payable by the Customer.

9.8The warranty is given to the original purchaser at the original installation address and is not transferable without our written consent.

10. What the warranty does not cover

The warranty does not apply to:

10.1Consumables, filters, anodes, gaskets, refrigerant top-up after the initial charge, and normal wear.

10.2Damage caused by installation, modification, dismantling or repair by anyone other than Authorised Service Personnel.

10.3Damage arising from water with TDS above 250 ppm, or from scaling, corrosion, suspended solids, chemical attack or freezing.

10.4Damage from supply voltage outside nameplate tolerance, absence of a voltage stabiliser, incorrect phase, lightning or power surge.

10.5Operation outside the published ambient, flow or temperature envelope.

10.6A circulation pump not selected in accordance with Sunniva's recommendation, and any damage arising from it.

10.7Damage to the remote controller through contact with water. The remote controller is not waterproof.

10.8Damage caused during shifting, relocation or improper storage at the Customer's premises.

10.9Damage from accident, misuse, neglect, fire, flood, earthquake, vermin or any external cause.

10.10Failure to carry out the maintenance set out in the operating manual, or to maintain records of it.

10.11Cosmetic deterioration not affecting function.

10.12Consequential liability, damage or loss to property or life arising directly or indirectly from appliance failure, breakdown, accident or improper usage.

10.13Any machine on which the Sunniva name or logo, the serial number, or the specification or rating label has been removed, defaced, obscured, altered or replaced. See clause 16.

11. Making a warranty claim

11.1Notify us in writing at support@sunnivaencon.com or by telephone on +91 93213 65103 as soon as the defect appears, quoting the model, serial number, invoice date and warranty card reference.

11.2Continuing to operate a machine after a fault appears, where doing so worsens the damage, may invalidate the claim.

11.3You must give us reasonable access and opportunity to inspect before any remedial work is carried out by others.

11.4Where we attend site and find no defect covered by this warranty, our attendance and travel charges become payable.

12. Spares, service and maintenance

12.1We endeavour to make spares available for 3 years from the date of last supply of that model, without binding commitment beyond that period.

12.2Annual Maintenance Contracts are offered separately and on their own terms.

12.3Service outside the warranty period is chargeable at our rates in force at the time.

13. Limitation of liability

13.1Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot lawfully be limited or excluded.

13.2Subject to clause 13.1, we are not liable for indirect, special or consequential loss, including loss of profit, revenue, production, contracts, business, goodwill or data, or for the cost of alternative heating or hot water, however arising.

13.3Subject to clause 13.1, our total aggregate liability arising out of or in connection with any contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the price paid for the goods giving rise to the claim.

13.4You must bring any claim within 12 months of the date on which you became aware, or ought reasonably to have become aware, of the circumstances giving rise to it.

14. Cancellation and returns

14.1Once an order has been placed — by payment of advance, issue of a purchase order, or written confirmation — it cannot be cancelled, varied or returned, and the full contract price remains payable.

14.2This applies to all goods, whether standard or made to order.

14.3We may, entirely at our discretion and in writing, agree to cancellation. Where we do, you remain liable for all costs incurred up to that date, including materials procured, work carried out, and any cancellation or restocking charges we incur with our own suppliers.

14.4Goods returned without our prior written authorisation will not be accepted and will be held at your risk and cost.

15. Force majeure

We are not liable for any delay or failure to perform caused by an event beyond our reasonable control, including act of God, flood, fire, earthquake, epidemic or pandemic, war, civil unrest, terrorism, government action, change in law, strike or labour dispute, failure of utilities or transport, cyber-attack, or shortage of materials or components. If such an event continues for more than 120 days, either party may terminate the affected order by written notice, and you will pay for work carried out and goods delivered up to that date.

16. Intellectual property, branding and product identification

16.1All intellectual property in our designs, drawings, datasheets, manuals, calculators, software, photographs and in the Sunniva name and marks remains ours. Nothing in any contract transfers any of it to you. Drawings and technical information supplied to you are confidential, are provided for the purposes of the contract only, and must not be copied or disclosed without our written consent.

16.2Every machine is supplied bearing the Sunniva name and logo, a unique serial number, and a specification or rating label. These identify the machine, establish its origin, record the data on which its safe operation depends, and are the means by which we trace it for warranty, service and spares.

16.3You must not remove, deface, obscure, alter, relabel or replace the Sunniva name or logo, the serial number, or the specification or rating label, whether before or after installation, and must not apply any other party's branding or marks to the goods.

16.4You must not represent the goods as having been manufactured by any person other than Sunniva, nor resell or supply them under another brand or private label, without our prior written consent.

16.5Any removal of, or tampering with, the branding or identification described in clauses 16.2 and 16.3 will:

(a)immediately and permanently void the warranty in full, with no obligation on us to repair, replace or credit;

(b)entitle us to decline service, spares and technical support in respect of that machine; and

(c)constitute a breach of these Terms and an infringement of our trade marks and other intellectual property rights.

16.6We reserve all rights and remedies in respect of such conduct, including injunctive relief, delivery-up, damages or an account of profits, and proceedings under applicable trade mark, copyright, design and competition law, in addition to any criminal liability that may arise.

16.7You will indemnify us against any loss, damage, cost, claim or liability we incur arising from the removal, alteration or concealment of branding or identification on goods in your possession or control, including any claim brought by a third party who acquired the goods in that condition, and including any safety claim where the rating label was absent or illegible.

16.8Where a machine is presented for service without a legible serial number or specification label, we may decline to work on it, as we cannot verify its specification, build or warranty status.

17. Confidentiality

Each party will keep confidential any non-public commercial or technical information disclosed by the other in connection with a contract, and will use it only for the purposes of that contract. This clause survives completion or termination.

18. Data protection

Personal information you provide is handled in accordance with our Privacy Policy at https://www.sunnivaencon.com/privacy-policy and applicable Indian law, including the Digital Personal Data Protection Act, 2023.

19. Export orders

19.1Export orders are supplied ex-works Asangaon. The buyer is responsible for arranging and paying for export packing where required, inland transport, freight forwarding, shipping, insurance, export and import clearance, duties, taxes and local certification.

19.2Export prices are quoted in US Dollars. All exchange-rate risk and any currency conversion cost is to the buyer's account.

19.3You are responsible for compliance with the law of the destination country, including any product certification, refrigerant handling and electrical approval requirements.

19.4We will not supply where doing so would breach applicable export control or sanctions law.

19.5Warranty on export orders covers replacement parts only, ex-works Asangaon. Freight on warranty parts, and any site attendance, travel or labour outside India, is chargeable to the Customer.
